Notice 180 and 360 User Agreement

Welcome to Notice Enterprises, Inc. (“Notice,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our digital products, Notice 180, Notice 360 and any other derivative, custom and/or other related services. By purchasing, accessing, or using any of our products or services, either directly, or through one of our referral partners, you (or referred to as “client(s)”) agree to be bound by these Terms. Please read them carefully. These terms are in addition to other terms and conditions on waitsmart.com for which you also agree to be bound.

 

1. Services Included

Notice 180
Notice 180 includes the following services:

  • Logo Design or Redesign: Professional logo creation or updating your existing
    logo, including custom favicon, professional brand guide and branded social
    media kit.
  • Website Design: Professional website design tailored to your industry and preoptimized for performance.
  • Secure Hosting for 1 Year: Hosting for your website with an SSL certificate for
    one year from the date of launch.

Notice 360
Notice 360 includes all services in Notice 180, plus:

  • 1-Year Subscription to Notice Online Scheduling: Access to our online scheduling tool for on
  • Online Invoice Creation: Tools for creating and managing invoices online.
  • Integrated Payment Processing (Optional): Integration of payment processing capabilities on your website.
  • Reviews Collection via SMS: Collect customer reviews through SMS.
  • Reserve with Google Integration (Coming Soon): Integration with Google’s reservation system. Note: The Reserve with Google feature is not currently available but will be deployed soon. Customers will be required to create a Google Business Profile for their business and either provide access to their Google Business Profile or follow instructions to connect their Google Business Profile to their Notice account.
 
2. Design and Rollout Process

Initial Steps

  • Webform Submission: Upon purchase and full payment of the desired package, clients receive webforms to guide the design process.
  • Alignment Call: Upon receipt of the completed design forms, an alignment call will be scheduled to review the forms and confirm clarity prior to kickoff.

Logo Design

  • Logo Ideas: Based on the information provided on the logo design form, 3 logo concepts will be created.
  • Revisions: The preferred logo can be revised up to three times until finalized.

Website Development

  • Template Selection: Customers will select from our portfolio of industry-specific site templates for customization.
  • Content Provision: Clients can provide content for their new site from an existing website, or Notice can generate relevant text and media content.
  • Progress Updates: During the site development process, clients will be provided with progress updates to view and provide feedback until finalization.
  • Pages Included: Both Notice 180 and Notice 360 include up to 5 pages per website. Standard pages included are: Home, About, Services, Team and Contact. Additional pages will be billed at $100-$250/page depending on requirements. All sites designed and hosted by Notice will display a small “Powered by Notice” logo and link on the bottom footer.
  • Optimization: Websites will be designed utilizing current best practices and will be pre-optimized for performance, speed, and SEO.
 
3. Hosting and Security
  • One-Year Hosting and SSL: Both products include one year of hosting and a one-year SSL certificate.
  • SSL Certificate: An SSL (Secure Sockets Layer) certificate secures your website by encrypting data transmitted between the server and the user’s browser, ensuring data privacy and protection.
  • Renewal: Hosting and SSL will automatically renew at $75/year thereafter until canceled.
 
4. Domain Purchase and Renewal

Clients are required to purchase a new domain or transfer their existing domain to the new site we design. Clients are also responsible for the timely renewal of domains and any associated costs. We will provide instructions on transferring/configuring the domain and can also assist with the domain transfer if needed.

 

5. Ownership of Content and Data
  • Client-Provided Content: Clients are responsible for obtaining all usage and intellectual property rights for any content they provide to us.
  • Notice-Generated Content: We will obtain usage and intellectual property rights for any content we create.
  • Ownership: You will own the content and data of the designed website and can take it with you should you choose to cancel your service with Notice.
 
6. Notice 360 Additional Services
  • Notice Scheduling: Includes one year of Notice Scheduling with confirmations, email and SMS notifications for customers, online invoicing, integrated payment processing, SMS review collection, and Reserve with Google integration (coming soon). Notice Online Scheduling is subject to Notice Enterprises, Inc.’s Terms of Service and Privacy Policy.
  • Renewal: Notice Scheduling will automatically renew at a 20% discount of the published rate at the time of renewal.
  • Notifications: Includes up to 1000 monthly email notifications and up to 250 SMS notifications. Additional emails and SMS notifications will be billed at $20/1000 emails and $15/500 outgoing SMS messages.
 
7. Payment Terms
  • Full Payment Due at Signup: Full payment for service is due at the time of purchase including payment plans provided through Affirm or any of our other payment partners.
  • Add-ons: The purchase price does not include any add-on services, products or features. Clients may purchase additional products and features in the future including but not limited to maintenance plans.
  • Additional Costs: Any additional features or services requested beyond those included in Notice 180 or Notice 360 will incur additional costs, which will be agreed upon before the work begins.
 
8. Updates and Changes
  • Minor Changes: We will make reasonable efforts to accommodate minor text and content changes after the website is approved and published.
  • Significant Updates: Any significant updates or changes requested after the website is approved and published are subject to additional charges and or subscription to a maintenance plan.
9. Additional Features and Services

As additional features and services become available, customers will be informed and have the option to purchase these additional services at an additional cost.

 

10. Cancellation Policy
  • Notice Scheduling Cancellation: Customers have the option to cancel Notice Scheduling after one year and retain only hosting services.
  • Data Export: All Notice data can be exported within 2 weeks of cancellation at no additional cost.
  • Feature Loss: Once canceled, clients will lose access to all Notice 360 specific features, including online scheduling, invoicing, reviews collection, and Reserve with Google functionality. Payment processing can continue; however, all invoicing-related functionality will be lost. Terminal-based transactions for in-person sales will continue undisrupted until canceled.
 
11. Payment Processing
  • FISERV Partnership: Payment processing is handled through our payment partner FISERV and is secured and subject to each merchant’s agreement with them. All associated payment processing issues, disputes, chargebacks, etc., are to be directed to FISERV and governed by the merchant’s agreement with them.
  • Approval and Onboarding: The application, approval, and onboarding process is smooth and can typically be completed within 48 hours. Approval and continual use of payment processing merchant accounts are made at the sole discretion of FISERV. If a merchant payment processing account is suspended or if payments are withheld by FISERV for any reason, resolution will be handled by the merchant and FISERV directly. No part of the Notice service will be affected or refundable due to payment processing disputes that may arise, including suspension or termination of a payment processing account. If a merchant account is declined by FISERV after the client purchases Notice 360, a one-time refund of $100 will be issued by Notice as a courtesy.
  • Integration: Notice will handle the integration of approved merchant accounts to facilitate seamless online payments through our invoicing feature, allowing for convenient online payments by your customers.
 
12. Client Responsibilities
  • Domain Purchase and Renewal: Clients are required to purchase a new domain or transfer their existing domain to the new site we design. Clients are also responsible for the timely renewal of domains and any associated costs. We will provide instructions on transferring/configuring the domain and can also assist with the domain transfer if needed.
  • Content Provision: Clients must provide all necessary content (text, images, videos, etc.) required for the website design in a timely manner.
  • Feedback and Approval: Timely feedback and approval are crucial to adhere to the project timeline.
  • Usage Rights: Clients are responsible for obtaining usage rights for any content they provide to us.
 
13. Notice Enterprises, Inc. Responsibilities
  • Quality of Service: We are committed to providing high-quality design and development services as described in these Terms.
  • Timely Delivery: We will strive to meet the timeline outlined in these Terms, barring any delays caused by client inaction or other unforeseen circumstances.
  • Security: We will follow industry standards to secure all client websites; however, we are not liable for damages resulting from bad actors or factors outside of our reasonable control.
  • Support: We will provide support for any technical issues related to hosting and integrated services for one year from the date of launch.
 
14. Prohibited Uses
  • Illegal Services: Promotion of any illegal services is strictly prohibited. We reserve the right to decline businesses at our sole discretion.
 
15. Limitation of Liability
  • No Liability for Domain Issues: We are not responsible for any issues related to domain purchase, renewal, or transfer.
  • Service Interruptions: While we strive to provide uninterrupted service, we are not liable for any interruptions due to factors beyond our control.
  • Indemnification: You agree to indemnify and hold harmless Notice Enterprises, Inc. and its affiliates, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services or any breach of these Terms by you.
 
16. Changes to Terms

Notice Enterprises, Inc. reserves the right to modify these Terms at any time. We will notify you of any significant changes to these Terms as determined at Notice’s discretion.

 

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law principles.
